These Terms and Conditions constitute a legally binding agreement between you (the Client) and Ulquiorra Zeal Tech (Pty) Ltd. They apply to all services we provide, including consulting, design, development, hardware support, marketing, and any other offerings.
This document should be read in conjunction with our Privacy Policy, Intellectual Property Policy, and any specific project quotation or service agreement. In case of any conflict, the specific project agreement will take precedence.
Services
Ulquiorra Zeal Tech provides business and technology services including strategy, business analysis, design, web and mobile development, hardware supply, repairs, installations, marketing, and growth solutions. All services are delivered according to the scope defined in the approved quotation or project agreement. We reserve the right to refuse service to any client at our sole discretion.
Quotations and Agreements
All quotations are valid for 14 days unless otherwise stated. A binding agreement is formed only when we receive written acceptance of the quotation and any required deposit. Project timelines and deliverables are estimates and may be adjusted with mutual agreement. Any changes to scope after agreement may result in additional costs and revised timelines.
Payment Terms
Unless otherwise agreed, we require a 50% deposit before work commences. The balance is due upon project completion and approval, or as per milestone payments specified in the agreement. All payments are non-refundable except as outlined in our Returns and Refunds Policy. Late payments may attract interest at 2% per month and may result in suspension of work.
Intellectual Property
All intellectual property created by Ulquiorra Zeal Tech remains our property until full payment is received. Upon final payment and project sign-off, we transfer the agreed rights to you as specified in the project agreement. You may not resell, redistribute, or modify the deliverables for commercial purposes beyond your own business use without our prior written consent.
Client Responsibilities
You agree to provide timely feedback, necessary materials, content, and access required for project completion. Delays caused by the client may result in timeline extensions and additional costs. You are responsible for ensuring all content and materials supplied do not infringe third-party rights and comply with applicable laws.
Limitation of Liability
To the maximum extent permitted by law, Ulquiorra Zeal Tech shall not be liable for any indirect, consequential, or incidental damages arising from the use of our services. Our total liability shall not exceed the total amount paid by you for the specific service in question. We do not guarantee specific business outcomes or revenue increases.
Termination
Either party may terminate the agreement with written notice. Upon termination, you remain liable for payment of all work completed up to the termination date. We reserve the right to terminate services immediately in cases of non-payment, breach of these terms, or illegal activity.
Governing Law
These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the South African courts.
Changes to Terms
We reserve the right to update these Terms and Conditions at any time. The updated version will be posted on this page with a new effective date. Continued use of our website or services after changes constitutes your acceptance of the revised terms.
