Ownership of Intellectual Property

All intellectual property rights (including copyright, design rights, and trademarks) in any work created by Ulquiorra Zeal Tech, our team, or our partners (Gosca and PropelusAI) remain the property of Ulquiorra Zeal Tech until full and final payment has been received and rights are explicitly transferred in writing. Upon full payment and project completion, we assign the agreed-upon rights to the client as specified in the contract.

Client Materials

Any materials, logos, images, content, or intellectual property supplied by you (the client) remain your property. You grant us a limited, non-exclusive licence to use such materials solely for the purpose of delivering the agreed services. You warrant that you have the necessary rights to provide these materials and that they do not infringe any third-party rights.

Licence and Usage Rights

Once full payment is received and rights are transferred, you are granted a perpetual, non-exclusive, royalty-free licence to use the final deliverables for your business purposes. Unless otherwise agreed in writing, you may not resell, redistribute, or modify the work for commercial gain beyond your own business use without our prior written consent.

Third-Party Intellectual Property

We may use licensed third-party assets (fonts, stock images, plugins, frameworks, etc.) in our deliverables. Any such third-party intellectual property remains subject to its original licence terms. We will inform you of any ongoing licence requirements (such as subscription renewals) before project completion. You are responsible for complying with these terms after handover.

Portfolio and Marketing Rights

We reserve the right to display completed projects in our portfolio, on our website, and in marketing materials (both online and offline) unless you specifically request otherwise in writing. We will never disclose confidential information or sensitive client data when showcasing work.

Infringement and Protection

We respect all intellectual property laws and expect our clients to do the same. If you believe any work we have delivered infringes your rights, please contact us immediately. We will investigate and take appropriate action. Similarly, we will take necessary steps to protect our own intellectual property from unauthorised use.
